This individual will provide contracting support to the Procurement team, ensuring use of accurate and relevant information through the E2E contract management phases of Intake, Drafting, Review, Negotiations and Finalization.   He/she will be coordinating with the Sourcing, Legal, and other Compliance functional teams to ensure all contents of the contract are accurate, complete and in compliance with all applicable laws and regulations.  

 

In this role the key responsibilities are: 

  • Support Global Services (GS) / Business Unit (BU) Sourcing with agreement requests
  • Align with BU/GS Sourcing on the type of agreement that should be used for the request 
  • Understand & incorporate relevant commercial terms into the specific agreement templates
  • Work with the Legal Department in drafting and reviewing the agreements, including facilitating communications and negotiations with internal stakeholders and external suppliers
  • Review contract terms and conditions to verify that they follow company policies and all applicable regulations
  • Incorporate relevant compliance and company exhibits and attachments to the agreements based on the nature of the engagement.
  • Facilitate meetings required to finalize the agreement  
  • Be the main contact person for the business where Procurement is determined to be the sponsor of the agreement
  • Manage contract approvals through the manual process flow or via e-tools such as fish flow, e-process and Request Navigator
  • Ensure proper use and maintenance of ICD as central repository of all procurement contracts
  • Route manual contract forms to authorized personnel for signature and/or chopping
  • Route copies of the final contract to suppliers for signature and/or chopping
  • Manage overall process in contract storage, including use of ICD and sending of signed contract copies to suppliers.

Requirements:

 

  • Min Degree Law/ Supply Chain, with 2-5 years of Contracting or Paralegal experience
  • Procurement experience with contracting expertise
  • Knowledge on common compliance requirements related to BPRA, Privacy, Pharmacovigilance, Intellectual Property, Business Quality 
  • Experience in coordinating and executing agreements
  • Knowledge on the different types of agreements (MSA, SSA, SOW etc) and when they are used
  • Understanding of legal terms and common clauses in agreements
  • Problem solving skills to deal with difficult agreements/clauses 
  • Ability to challenge the status quo and influence decisions
  • Strong business acumen
  • Demonstrates basic computer skills
