Key Duties & Responsibilities:
· As a contracts coordinator/paralegal you will be responsible for providing support for up to the legal director as well as other internal stakeholders.
Essential Responsibilities:
This individual will be responsible for:
• Supporting the legal director of SG & MY:
(1) analyzing, drafting, amending and coordinating the processing of agreements related to transactions of the Company, such as licensing or M&A or R&D-related agreements;
(2) analyzing, drafting, amending and coordinating the completion of commercial agreements, including marketing services agreements, distribution agreements;
(3) using templated agreements to draft form documents, making recommendations regarding standardized and best practices to facilitate streamlined processes, procedures and policies, or implementation of new policies and/or procedures to improve overall workflow.
· Work collaboratively with in-house attorneys, other legal specialists, other functional groups, other teams and administrative staff.
• Assist in maintaining contract database and legal contracts library website management, including
maintaining contract templates and contract approval forms, maintaining repository of all executed contracts, generating and distributing reports, and participating in the wider Law Department initiatives.
• Act as initial contact with clients on matters and gathering information.
• Conduct legal and/or business research and provide timely and relevant information to respond to legal inquiries.
· Extend support for all countries in SEA
• Expected to have a general understanding of contracts – provisions and areas of risks in order to complete e filing accurately and timely.
• Prepare summary for each contract with the necessary details.
· Ensure that every contract complies to the requirements of and process prescribed in internal SOPs/policies (for example, the Contract Management (Review, Monitoring and Tracking)).
• Provide guidance to business partners as to the process of contracting, how to prepare a contract summary and contract review.
• Data entry – keeping contract details updated, upload contracts and summary in a timely manner
• Closely follow us with business partners on whether a contract needs to be extended or terminated.
· Where contract is to be extended or renewed and contract review process be done and completed.
• Filing hardcopies in accordance to relevant SOPS (e.g. in fire proof safe (Singapore))
• Establishing a practical filing system and maintaining the filing system.
• Candidate is expected to have an eye for/attention to detail.
• Candidate must be able to perform his/her duties with minimal manager supervision.
• Establish, roll out and manage legal tool to every country in SEA. Guidance business partners in the
· usage of the legal tool.
• Assist in contract retrievals and contract report generation for compliance with all applicable SOPS/audits.
• Communicates and works effectively with all levels of company management, attorneys, paralegals,
· internal and external resources.
· Additional projects will be assigned on an ad hoc basis.
· Demonstrates ability to work proactively and independently , while producing excellent work‐product, managing a substantial workload with multiple deadlines, and managing different stakeholders
• Proactively identify and recommend process solutions to continuously optimize and simplify process
· of contract management
• Provide day to day administrative support to Legal team.
Qualifications, Experience and Competencies:
· Degree holder in law/ legal field with minimum 1 year of experience in contracts management and/or paralegal experience
· Fundamental understanding of legal terms and common clauses in agreements
· Problem solving skills to negotiate difficult agreements/clauses
· Knowledge of contract law and awareness of regulations specific to services
· Contracts management and negotiation related work experience
· Legal support related (ie para-legal/legal-assistance) background is preferred
